Who We Are

Khanya CRM ("Khanya", "we", "us", "our") is a South African software-as-a-service platform accessible at app.getkhanya.com. These Terms and Conditions ("Terms") govern your access to and use of the Khanya platform and all associated services.

1. Acceptance of Terms

By creating an account, accessing the platform, or using any Khanya service, you confirm that you:

1. Have read and understood these Terms

2. Are at least 18 years old and legally capable of entering into binding agreements

3. Are using Khanya for lawful business purposes

4. Agree to be bound by these Terms and our Privacy Policy

If you are using Khanya on behalf of a business or organisation, you confirm that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, do not use the platform.

2. Description of Service

Khanya is a CRM and lead generation platform designed for South African businesses. The platform includes the following modules:

• Lead Engine — Discover South African businesses via Google Maps and public web sources. Enrich leads with contact details, ratings, and business information.

• CRM Pipeline — Manage leads through customisable sales pipeline stages. Add notes, tasks, tags, and track all interactions.

• Invoicing — Create and send professional invoices to clients directly from the platform.

• Team Collaboration — Invite team members with role-based access control (admin, manager, agent).

• Notifications — In-app and email notifications for key events.

We reserve the right to add, modify, or remove features at any time. Where changes materially affect your use of the platform, we will provide reasonable notice.

3. Account Registration

3.1 Account Creation

To use Khanya, you must register for an account by providing a valid name and email address. You may also register using a supported third-party authentication provider (e.g. Google Sign-In), subject to that provider's own terms.

3.2 Account Security

You are responsible for:

- Maintaining the confidentiality of your login credentials

- All activity that occurs under your account

- Notifying us immediately at info@getkhanya.com if you suspect unauthorised access to your account

We are not liable for any loss arising from unauthorised use of your account where you have failed to maintain reasonable security practices.

3.3 Accurate Information

You agree to provide accurate, complete, and current registration information and to keep it updated. We reserve the right to suspend or terminate accounts that contain false or misleading information.

4. Subscription Plans and Billing

4.1 Plans

Khanya is offered on the following subscription plans:

• Basic — R159 /month (excl. VAT)

• Starter — R299 /month (excl. VAT)

All prices are in South African Rand (ZAR) and exclude 15% South African VAT. VAT will be added at checkout where applicable.

Plan features, limits (leads, searches, users), and pricing are as described on the pricing page at getkhanya.com. We reserve the right to change pricing with 30 days' written notice.

4.2 Free Trial

New accounts may be eligible for a free trial period as described at sign-up. No credit card is required during the trial. At the end of the trial, access to paid features will be restricted until a subscription is activated.

4.3 Payment Processing

Payments are processed by PayFast, a South African payment gateway. By subscribing to a paid plan, you authorise PayFast to charge your nominated payment method on a recurring monthly basis.

We do not store your payment card details. All payment data is processed and stored by PayFast in accordance with their Privacy Policy and PCI-DSS requirements.

4.4 Billing Cycle

Subscriptions are billed monthly from the date you activate your plan. Renewals occur automatically on the same day each month unless you cancel before the renewal date.

4.5 Failed Payments

If a payment fails, we will attempt to notify you by email. Access to paid features may be suspended until payment is resolved. We are not liable for any loss arising from access suspension due to failed payment.

4.6 Cancellation

You may cancel your subscription at any time from your billing settings. Cancellation takes effect at the end of your current billing period — you will retain access until then. We do not offer pro-rata refunds for unused portions of a billing period.

4.7 Refunds

All subscription fees are non-refundable except where required by South African consumer law. If you believe you have been incorrectly charged, contact us at info@getkhanya.com within 14 days of the charge.

5. Acceptable Use

5.1 Permitted Use

You may use Khanya solely for lawful business purposes in accordance with these Terms and applicable South African law.

5.2 Prohibited Conduct

You must not:

- Use the platform to harvest, scrape, or collect data in a manner that violates any third party's terms of service or applicable law

- Use Lead Engine data to send unsolicited bulk emails or engage in spam campaigns

- Attempt to reverse-engineer, decompile, or extract source code from the platform

- Circumvent or attempt to circumvent any access controls, rate limits, or security measures

- Use the platform to store or transmit malicious code, viruses, or harmful content

- Use the platform in a way that infringes any third party's intellectual property rights, privacy rights, or other legal rights

- Share your account credentials with unauthorised parties

- Impersonate another person or entity

- Use the platform for any purpose that is unlawful, fraudulent, or harmful

5.3 Lead Data and POPIA Compliance

The Lead Engine surfaces information about South African businesses from publicly available sources. When you import, store, and act on this data within your CRM, you become the responsible party under POPIA for how that data is used.

You agree that you will:

- Only use lead data for lawful B2B sales and marketing purposes

- Respect opt-out and suppression requests from any individuals whose data you hold

- Not use the platform to process sensitive personal information (as defined in POPIA) without appropriate consent

- Comply with all applicable data protection, privacy, and marketing laws when contacting leads

5.4 Resource Limits

Plan-specific limits apply (e.g. number of leads, searches per month). Attempts to circumvent these limits — including through automated scraping of the platform itself or creating multiple accounts — are prohibited.

6. Intellectual Property

6.1 Our Intellectual Property

The Khanya platform, including its software, design, brand, trademarks, and documentation, is owned by Khanya and protected by South African and international intellectual property law. Nothing in these Terms grants you ownership of or a licence to use our intellectual property beyond what is necessary to use the service.

6.2 Your Data

You retain ownership of all data you upload to or create within Khanya (your CRM records, notes, invoices, etc.). By using the platform, you grant us a limited, non-exclusive licence to process and store your data solely for the purpose of providing the service to you.

6.3 Feedback

If you provide us with suggestions, feedback, or ideas about the platform, we may use them without restriction or compensation to you.

7. Invoicing Features

The invoicing module allows you to generate and send invoices to your clients. Khanya provides the tooling — you are responsible for:

- Ensuring the accuracy of all invoice content

- Complying with South African VAT and tax laws (including issuing valid tax invoices where applicable)

- Registering as a VAT vendor if required by law

- Collecting and remitting any taxes owed

Khanya is not a registered tax adviser. Nothing in the platform constitutes tax advice.

8. Availability and Uptime

We aim to keep Khanya available at all times but do not guarantee uninterrupted access. The platform may be unavailable due to:

- Scheduled maintenance (we will provide advance notice where possible)

- Unplanned outages, infrastructure failures, or third-party service disruptions

- Circumstances beyond our reasonable control (force majeure)

We are not liable for any loss or damage arising from platform unavailability.

9. Disclaimer of Warranties

The platform is provided "as is" and "as available" without warranty of any kind, express or implied. To the maximum extent permitted by South African law, we disclaim all implied warranties, including:

- Fitness for a particular purpose

- Accuracy or completeness of lead data

- Uninterrupted or error-free operation

Lead data sourced from public sources (including Google Maps) is provided for reference only. We do not guarantee its accuracy, completeness, or currency.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Khanya's total liability to you for any claim arising out of or related to these Terms or the platform shall not exceed the total fees you paid to Khanya in the 3 months preceding the event giving rise to the claim.

We are not liable for:

- Indirect, incidental, special, or consequential loss

- Loss of profits, revenue, data, or business opportunity

- Loss arising from your reliance on lead data or from third-party service failures

Nothing in these Terms limits liability for fraud, gross negligence, or any liability that cannot be excluded under South African law.

11. Indemnification

You agree to indemnify and hold harmless Khanya and its directors, employees, and agents from any claims, losses, damages, and costs (including legal fees) arising from:

- Your use of the platform in breach of these Terms

- Your violation of any third party's rights (including privacy and intellectual property rights)

- Your non-compliance with POPIA or any applicable marketing law when using lead data.

12. Termination

12.1 By You

You may close your account at any time by following the account deletion process in your settings or by contacting info@getkhanya.com. On deletion, your data will be retained for 12 months then permanently deleted, except where retention is required by law.

12.2 By Us

We may suspend or terminate your account with immediate effect if you:

- Materially breach these Terms

- Use the platform for unlawful purposes

- Fail to pay subscription fees after reasonable notice

- Act in a manner that puts the security or integrity of the platform or other users at risk

Where possible, we will provide prior notice and an opportunity to remedy the breach.

12.3 Effect of Termination

On termination, your right to access the platform ceases immediately. You can request an export of your data before termination takes effect.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of South Africa. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of South Africa.

Before initiating formal proceedings, the parties agree to attempt to resolve any dispute in good faith through direct negotiation. If unresolved within 30 days, either party may refer the dispute to mediation under the rules of the Arbitration Foundation of Southern Africa (AFSA).

14. General

• Entire Agreement — These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Khanya.

• Severability — If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force.

• Waiver — Our failure to enforce any provision is not a waiver of our right to enforce it in the future.

• No Assignment — You may not assign or transfer your rights under these Terms without our prior written consent.

• Changes — We may update these Terms at any time. Material changes will be communicated by email with at least 14 days' notice. Continued use after the effective date constitutes acceptance.
